
Dedsis Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of the Dedsis website, the purchase and use of Dedsis products and services, and other transactions entered into with Dedsis OÜ (“Dedsis”, “we”, “our”, “us”).
By accessing or using our website, placing an order, or completing payment to Dedsis, you acknowledge the Terms made available in connection with the relevant use or purchase.
Nothing in these Terms excludes, restricts, or overrides any mandatory rights granted to consumers under applicable European Union or Estonian law.

2. Scope of These Terms
These Terms apply, where relevant, to:

Visitors and users of the Dedsis website;

Customers purchasing products directly from Dedsis;

Orders placed through the Dedsis website or through other distance communication channels accepted by Dedsis;

Dedsis software, licenses, digital services, and related functionality;

Business customers, dealers, distributors, and resellers, subject to any separate written commercial agreement.
Additional policies, including the Return & Refund Policy, Shipping Policy, Privacy Policy, and Cookie Policy, form part of the applicable contractual framework where relevant.
Where separately agreed written commercial terms conflict with these Terms in a B2B transaction, the separately agreed commercial terms will prevail to the extent of that conflict.
3. Use of the Website
The Dedsis website may only be used for lawful purposes.
Users must not:

Violate applicable laws or regulations;

Attempt to obtain unauthorized access to the website, servers, software, accounts, systems, or data;

Interfere with the security, availability, or normal operation of the website or related systems;

Introduce viruses, malicious code, automated attacks, or other harmful material;

Scrape, systematically extract, reproduce, copy, resell, or commercially exploit website content without authorization;

Impersonate another person or provide deliberately false information;

Use the website or Dedsis systems for fraudulent, unlawful, abusive, or unauthorized purposes.
Dedsis may take reasonable technical or legal measures to protect its website, systems, intellectual property, customers, and business operations.
4. Product Information
Dedsis takes reasonable steps to ensure that product descriptions, specifications, images, compatibility information, prices, and other information are accurate.
Product images, illustrations, screenshots, scan examples, demonstrations, field results, and other visual materials may be provided for explanatory or illustrative purposes.
Minor variations in appearance, packaging, accessories, software interface, components, or technical implementation may occur as a result of product development, manufacturing updates, supply changes, or software updates, provided that the product remains materially consistent with the applicable contractual requirements.
Dedsis may improve, update, modify, replace, or discontinue products, features, software, or services.
Such changes do not affect contractual or statutory rights relating to products already purchased where those rights are protected by applicable law.
5. Orders and Contract Formation
An order submitted to Dedsis constitutes an offer to purchase the relevant product or service.
Dedsis may request additional information reasonably necessary to process an order, verify payment, confirm delivery details, comply with legal requirements, or prevent fraud.
Where an order is processed through direct communication, quotation, proforma invoice, or invoice, the applicable product, price, VAT, shipping arrangements, and payment information may be specified in those documents or communications.
Dedsis reserves the right to reject or cancel an order before shipment where there is a legitimate reason, including:

Product unavailability;

An obvious pricing or technical error;

Failed or unconfirmed payment;

Suspected fraud or unauthorized transaction;

Incomplete or unverifiable customer information;
-
Legal, regulatory, export, sanctions, or shipping restrictions;

Inability to deliver the product lawfully or reasonably to the requested destination.
Where Dedsis cancels a consumer order after receiving payment and before shipment, the amount paid for the cancelled order will be refunded in accordance with applicable law.
6. Prices, VAT and Payment
Prices may be displayed inclusive or exclusive of VAT depending on the sales channel, customer type, destination, and applicable tax rules.
Before a consumer becomes bound by a purchase, the applicable total price and any additional charges payable by the consumer will be communicated in accordance with applicable law.
For direct invoice sales, the invoice issued by Dedsis will specify the amount payable and applicable payment information.
Unless otherwise agreed in writing, payment must be received in full before the product is shipped.
Customers are responsible for ensuring that payment details and payment references are correct.
The customer is responsible for bank fees charged solely by the customer's own bank or payment provider, unless applicable law or a separate agreement provides otherwise.
Dedsis remains responsible for taxes and charges that applicable law requires Dedsis itself to bear.
7. Shipping and Delivery
Shipping and delivery are governed by the applicable Dedsis Shipping Policy and any specific shipping terms communicated for the order.
Delivery times are estimates unless expressly agreed otherwise.
For consumer transactions, risk of accidental loss or damage during transportation will transfer in accordance with mandatory applicable law.
Customers are responsible for providing complete and accurate delivery and contact information.
Additional reasonable costs caused by incorrect customer information, failure to accept delivery, or failure to complete legally required recipient-side customs procedures may be charged to the customer where permitted by applicable law.
8. Consumer Right of Withdrawal and Returns
Consumers entering into qualifying distance contracts may have a statutory right to withdraw from the purchase within 14 days, subject to applicable law and statutory exceptions.

Nothing in these Terms limits any mandatory statutory consumer rights.
9. Product Inspection, Use and Diminished Value
Where a consumer exercises a statutory right of withdrawal, the customer may inspect the product only to the extent necessary to establish its nature, characteristics, and functioning.
Handling or use beyond what is reasonably necessary for such inspection may result in diminished value.
Where permitted by applicable law, Dedsis may deduct from a refund an amount corresponding to the actual diminished value caused by excessive handling, field use, damage, contamination, missing components, unauthorized modification, or other conduct reducing the condition, completeness, functionality, or reasonable resale value of the product.

10. Software, Licenses and Digital Services
Certain Dedsis products operate with or include software, activation codes, licenses, digital services, applications, firmware, or online functionality.
Unless expressly stated otherwise:

Software and licenses supplied with a product are provided for use with the relevant Dedsis product;

License rights are limited, non-exclusive, and subject to applicable license conditions;

Customers may not unlawfully copy, modify, reverse engineer, distribute, resell, sublicense, circumvent protection mechanisms, or commercially exploit Dedsis software;
-
Activation codes and license credentials must not be shared, published, or transferred except where expressly authorized by Dedsis or required by applicable law.
Software functionality, user interfaces, algorithms, online services, AI-assisted functionality, and compatible operating-system requirements may be updated from time to time.
Digital content and services may be subject to additional statutory rules, including rules concerning conformity, updates, withdrawal rights, and exceptions to withdrawal rights.
Nothing in this section limits mandatory rights applicable to consumers.
11. Proper and Lawful Use of Products
Dedsis products are measurement, surveying, detection, imaging, and analysis systems intended to assist users in collecting and interpreting data.
Actual results may vary depending on environmental conditions, soil composition, mineralization, electromagnetic interference, target properties, operator technique, device settings, calibration, software interpretation, and other field conditions.
Dedsis does not guarantee that a product will identify, locate, classify, or determine the exact nature, composition, depth, size, value, or legal status of every underground object, anomaly, cavity, structure, or material.
Product measurements, visualizations, classifications, software outputs, and AI-assisted analyses are analytical aids and should not be treated as an absolute guarantee of underground conditions or findings.
The customer is responsible for:

Using the product safely and in accordance with instructions;

Obtaining any permissions, licenses, or authorizations required for the intended activity;
-
Respecting property rights and access restrictions;
-
Complying with excavation, archaeology, cultural heritage, environmental, land-use, export, and other applicable laws;
-
Independently assessing whether any physical intervention, excavation, recovery, or other activity is lawful and appropriate.
Dedsis does not authorize or encourage unlawful excavation, trespassing, unauthorized recovery, damage to property, interference with protected archaeological or cultural heritage sites, or any other unlawful activity.
12. AI-Assisted Analysis and Software Outputs
Where Dedsis provides AI-assisted, automated, algorithmic, or software-based analysis, such outputs are intended to assist interpretation of measurement data.
Analysis results may depend on the quality, completeness, accuracy, and conditions of the data supplied to the system.
AI-assisted or automated analysis may contain uncertainties, errors, or alternative interpretations.
Customers should therefore use such outputs together with device measurements, field observations, professional judgment where appropriate, and applicable legal or safety requirements.
To the maximum extent permitted by applicable law, Dedsis does not guarantee that AI-assisted or automated analysis will be error-free or provide a definitive identification or classification of underground conditions or objects.
13. Intellectual Property Rights
All intellectual property rights relating to Dedsis products and services, including where applicable:

Trademarks and logos;

Product names and branding;
-
Website content;
-
Product designs;
-
Hardware designs and schematics;
-
Software and firmware;
-
Source and object code;
-
Applications;
-
User interfaces;
-
Algorithms and analysis methods;
-
Documentation, graphics, photographs, videos, and marketing materials;
are owned by Dedsis OÜ, its affiliates, licensors, or other applicable rights holders.
Purchase of a Dedsis product does not transfer ownership of Dedsis intellectual property to the customer.
Customers receive only those rights necessary to lawfully use the purchased product and associated software in accordance with the applicable terms.
Unauthorized copying, reproduction, distribution, modification, commercial exploitation, or other infringement of Dedsis intellectual property is prohibited.
14. Warranty and Legal Conformity Rights
Products supplied to consumers are subject to the mandatory statutory conformity rights applicable under relevant law.
Any commercial or additional warranty offered by Dedsis is separate from and does not restrict mandatory consumer rights.
Customers should notify Dedsis of suspected defects or non-conformity and provide reasonable information necessary to identify and assess the issue.
Dedsis may request photographs, videos, serial numbers, diagnostic information, software information, or other reasonable evidence necessary to evaluate a reported problem.
Available remedies will be determined in accordance with applicable law and the circumstances of the individual case.
15. Limitation of Liability
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Subject to mandatory law, Dedsis is not responsible for losses resulting from:

Unlawful, improper, negligent, or unauthorized use of a product;

Use contrary to product instructions or safety requirements;

Unauthorized modification, disassembly, repair, or alteration;

Customer failure to obtain legally required permits or permissions;
-
Decisions based solely on measurement, imaging, software, or AI-assisted outputs without appropriate independent assessment;

Environmental or field conditions outside Dedsis's control;
-
Third-party services, networks, devices, applications, or systems outside Dedsis's reasonable control;
-
Incorrect information or data supplied by the customer.
For business customers, dealers, distributors, and resellers, additional limitations of liability may be agreed separately in writing.
Nothing in these Terms limits liability for fraud, intentional misconduct, or any other liability that cannot lawfully be excluded or limited.
16. Third-Party Services and Links
The Dedsis website, products, or software may contain or depend upon links, platforms, operating systems, communication networks, payment providers, courier services, or other services operated by third parties.
Dedsis does not control independent third-party services and is not responsible for their separate content, policies, availability, or conduct except to the extent that responsibility cannot lawfully be excluded.
Use of third-party services may be subject to the third party's own terms and privacy policies.
17. Privacy and Data Protection
Dedsis processes personal data in accordance with applicable data protection legislation, including the EU General Data Protection Regulation (GDPR) where applicable.

18. Cookies
The Dedsis website may use cookies and similar technologies for essential functionality and, where permitted, analytics or other purposes.

19. Suspension and Protection of Services
Dedsis may suspend, restrict, or terminate access to its website, accounts, software, digital services, or related functionality where reasonably necessary because of:

Security threats;

Fraud or unauthorized activity;

Abuse of Dedsis systems;
-
Legal or regulatory requirements;
-
Actions that materially threaten Dedsis systems, intellectual property, other customers, or third parties.
Any such action affecting a consumer's purchased digital service or statutory rights will remain subject to mandatory applicable law.
20. Complaints and Dispute Resolution
Customers should first contact Dedsis regarding complaints or disputes so that the matter can be reviewed and, where possible, resolved directly.

Consumers retain any right available under applicable law to submit a dispute to a competent consumer dispute resolution body or court.
Nothing in these Terms prevents a consumer from exercising mandatory rights concerning consumer dispute resolution or judicial remedies.
21. Governing Law and Jurisdiction
These Terms and transactions with Dedsis are governed by the laws of the Republic of Estonia, unless mandatory applicable law provides otherwise.
For consumers, this choice of law does not deprive the consumer of mandatory protections that apply under applicable consumer law.
Disputes involving consumers may be brought before any court or dispute-resolution body having jurisdiction under mandatory applicable law.
For transactions with business customers acting in the course of their trade, business, craft, or profession, unless otherwise agreed in writing, disputes shall be subject to the jurisdiction of the competent court in Harju County, Estonia, to the extent permitted by law.
22. Separate B2B Terms
Dealers, distributors, resellers, and other business customers may be subject to separate commercial agreements or conditions.
Such terms may regulate matters including:

Where separately agreed written B2B terms conflict with these Terms, the separately agreed terms will prevail for the relevant B2B transaction.
23. Changes to These Terms
Dedsis may update these Terms from time to time.
Changes to website-use provisions may take effect when the updated Terms are published, subject to applicable law.
For a completed purchase, the version of the Terms provided or made available to the customer in connection with that purchase will apply to that transaction, except where applicable law requires otherwise or the parties validly agree otherwise.
24. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will apply only to the maximum extent permitted by law or, where appropriate, be severed.
The remaining provisions will continue to apply to the extent permitted by law.
